1. SCOPE AND RELATIONSHIP TO OTHER TERMS

These Ticket Purchase Terms (these "Purchase Terms") govern the sale and issuance of tickets through the platform operated by ИП Алексанян Гайк Давидович (Individual Entrepreneur Aleksanyan Gaik Davidovich) ("Tonik") at tonik.events (the "Platform"). They supplement the Terms of Service and are incorporated into them. Refunds, cancellations, and exchanges are governed by the Refund, Cancellation and Exchange Policy. Payments in digital assets are additionally governed by the Digital Asset Payment Terms.

Capitalised terms not defined here have the meanings given in the Terms of Service.


2. WHO YOU ARE CONTRACTING WITH

2.1 The Organiser Is the Seller

The ticket you purchase is sold to you by the Organiser of the relevant event, not by Tonik. Tonik acts as the Organiser's disclosed commercial agent for the limited purposes of listing the event, issuing tickets, and collecting payment on the Organiser's behalf.

The Organiser is identified on the event page and in the confirmation communications sent to you. The contract of sale is between you and that Organiser.

2.2 Consequences of the Agency Relationship

(a) The Organiser is responsible for the event, including whether it takes place, its date, time, location, line-up, content, running order, duration, and the conditions of entry.

(b) The Organiser is responsible for refunding the ticket price where the event is cancelled or materially altered, in accordance with the Refund, Cancellation and Exchange Policy.

(c) Tonik is responsible for the correct operation of the Platform, the accurate processing of your payment, and the issuance and delivery of your ticket.

(d) Tonik's own fees are charged by Tonik in its own right in consideration of the booking and payment services it provides to you, as set out in Sections 3 and 6.

2.3 Organiser Conditions

Each Organiser may impose additional conditions applicable to its event, including conditions of admission, age restrictions, prohibited items, bag policies, photography restrictions, resale restrictions, and dress requirements. Such conditions are stated on the event page and form part of your contract with the Organiser. Where an Organiser condition conflicts with these Purchase Terms in respect of the event itself, the Organiser condition prevails; where the conflict concerns the operation of the Platform or Tonik's own services, these Purchase Terms prevail.


3. PRICING, FEES AND CURRENCY

3.1 Server-Side Calculation

All prices, fees, taxes, and totals are calculated and validated on our servers. Any price or total transmitted from your browser or device is disregarded. If a discrepancy arises between a price displayed to you and the price calculated by our servers, we will notify you before payment is taken and you may elect not to proceed.

3.2 Composition of the Amount Payable

The total amount payable comprises:

(a) the ticket price, set by the Organiser;

(b) the ticket booking fee of four per cent (4%) of the ticket price, charged by Tonik — displayed separately by default, or absorbed into the displayed ticket price where the Organiser has so elected;

(c) any applicable value-added tax, goods and services tax, or equivalent transaction tax;

(d) payment processing costs, included in the amount displayed on the payment button; and

(e) any per-ticket charge imposed by the Organiser or venue and disclosed at checkout.

3.3 Payment Processing Fee by Method

Payment processing costs are included in the order amount. The amount displayed on the payment button is final.

The methods offered are subject to change. The rate and the resulting total displayed to you at checkout govern your transaction.

No currency conversion surcharge is applied by Tonik.

3.4 How Amounts Are Displayed

Before you reach the payment step, prices are displayed inclusive of all fees, together with a line identifying any tax included in the ticket price.

At the payment step, the payment button displays the exact amount that will be charged to your payment instrument, together with a breakdown identifying the booking fee included in that amount and, where relevant, an approximate equivalent in the display currency.

Changing your payment method updates the amount payable. Where a change of method also involves a change of charge currency, any previously created payment instruction is cancelled before a new one is created. You will not be charged twice as a result of changing payment method.

3.5 Charge Currency

The currency in which your payment instrument is charged is determined by the account that acquires your payment and by the payment method you select, and may differ from the currency in which prices are displayed.

Where the charge currency differs from the currency in which prices are displayed, the amount is converted at the rate prevailing when you pay, and the converted amount and its currency are shown on the payment button before you authorise the payment.

Where the charge currency differs from the currency of your payment instrument, your bank, card issuer, or wallet provider may apply its own conversion rate and its own foreign-transaction charge. Such charges are levied by your provider, are not received by Tonik, and are outside our control.

Your receipt records the amount actually charged, the currency of that charge, and the conversion rate we applied for reference.

3.6 Pricing Errors

Where a ticket is listed at a price that is manifestly incorrect as a result of a technical or human error, and the error is such that a reasonable purchaser would have recognised it as an error, we or the Organiser may cancel the affected order and refund all amounts paid in full. We will notify you promptly if this occurs. This provision does not apply to promotional pricing or to price changes correctly applied by the Organiser.

3.7 Taxes

Transaction taxes are calculated at the rate in force at the time your order is placed and are recorded against the order as at that time. Subsequent changes to tax rates do not alter a completed order. You remain responsible for any tax arising in your own jurisdiction in connection with your purchase, including any tax arising from the disposal of a digital asset used to effect payment.


4. SELECTION, RESERVATION, AND ORDER FORMATION

4.1 Ticket Categories and Allocations

Events are sold either by quantity within named ticket categories, or by allocated seat on a venue plan. Categories may be grouped, in which case the event page displays price ranges by group.

Availability indicators shown on the Platform — including "on sale," "selling fast," "almost gone," and "sold out" — are indicative representations of remaining availability. They do not constitute a guarantee that a specific quantity of tickets remains available at any given moment.

4.2 Temporary Reservation

Selecting a seat or ticket allocation reserves it for you for a limited period, currently ten (10) minutes, during which it is unavailable to other purchasers. Reservation does not create a contract and does not guarantee that you will be able to complete a purchase.

If payment is not completed within the reservation period, the reservation lapses automatically and the allocation is returned to general availability.

Closing the checkout releases only your own reservation.

4.3 Extended Reservation

Where the Organiser has enabled the feature, you may elect on closing the checkout to hold your seats for a further period, currently thirty (30) minutes. Where you do so:

(a) after approximately ten (10) minutes we send a reminder to the email address associated with your order, stating the time remaining and containing a signed link permitting you to resume the order on any device;

(b) that link expires forty-eight (48) hours after the end of the reservation period; and

(c) if payment is not completed within the extended period, the order is cancelled automatically and the allocation is returned to general availability.

An extended reservation does not create a contract and confers no right to purchase at the reserved price after the period expires.

4.4 Formation of Contract

Your submission of an order constitutes an offer to purchase. A binding contract of sale is formed only when we confirm that payment has been received and settled, at which point your tickets are issued and delivered. Neither the display of an event, nor the reservation of an allocation, nor the initiation of a payment constitutes acceptance of your offer.

4.5 Rejection of Orders

We or the Organiser may decline an order where: (a) the allocation is no longer available; (b) payment is not received in full within the applicable period; (c) the order breaches a published purchase limit; (d) we reasonably suspect fraud, automated purchasing, or unauthorised resale activity; (e) you do not meet the eligibility requirements of the Terms of Service or the conditions of the event; or (f) acceptance would breach applicable law or sanctions. Where an order is declined after payment has been received, the amount paid is refunded in full.

4.6 Purchase Limits

Organisers may impose limits on the number of tickets purchasable per person, per household, or per payment instrument. Orders exceeding a limit may be cancelled in whole or in part without notice, including where the limit is circumvented through the use of multiple accounts, email addresses, or payment instruments.


5. PAYMENT

5.1 Accepted Methods

Payment may be made by:

(a) Card, including credit and debit cards accepted by our payment processor; (b) Digital wallets, including Apple Pay and Google Pay, where supported by your device and browser; (c) Local payment methods, including Alipay, WeChat Pay, GrabPay, and PayNow, where available in your jurisdiction; and (d) Digital assets, being the stablecoins USDT and USDC on the supported networks, subject to the Digital Asset Payment Terms.

Availability of a given method depends on your location, device, browser, and the Organiser's configuration. Digital wallet buttons are rendered by your browser and appear only where the necessary conditions are satisfied.

5.2 Timing

Payment must be completed within the applicable reservation or quotation period. Where payment is not completed within that period, the order lapses in accordance with Section 4.

5.3 Settlement Confirmation

Payment is treated as received only upon confirmation from the relevant payment processor or, in the case of digital assets, upon confirmation of settlement on the applicable blockchain network. Tickets are issued only after such confirmation.

5.4 Unsuccessful and Interrupted Payments

(a) Declined payments. Where a card payment is declined or an authentication step is not completed, an error is displayed and you may retry or select an alternative method. No charge is made.

(b) Delayed failures. Certain methods confirm asynchronously. Where a payment fails after you have left the checkout — for example where a payment code expires or an intermediary transfer does not complete — the reason is recorded against your order and displayed when you return to it.

(c) Expired quotations. Where a digital asset quotation expires before payment is received, the checkout offers a new quotation at the rate then applicable.

(d) Insufficient payment. Where a digital asset payment is received in an amount less than that quoted, your allocation continues to be held and the checkout displays the amount received, the amount required, and the balance outstanding, together with the same deposit address. See Section 6.2 of the Digital Asset Payment Terms.

(e) Cancellation by you. You may abandon an order before payment is completed. Doing so cancels any outstanding payment instruction and immediately returns the allocation to general availability.


6. THE BOOKING FEE

The ticket booking fee of four per cent (4%) is charged by Tonik in consideration of the services it provides to you in connection with your purchase, comprising: presentation of the event and available inventory; reservation of your selected allocation; secure processing of your payment; generation, issuance, and delivery of your tickets; provision of your receipt and, on request, your invoice; provision of self-service access to your tickets; and provision of purchaser support.

These services are performed and completed at the point at which your tickets are issued. The booking fee is accordingly earned upon issuance. The consequences of this for refunds are set out in the Refund, Cancellation and Exchange Policy and are subject to any right you may have under a law that cannot be excluded by agreement.


7. TICKETS

7.1 Form and Delivery

Tickets are issued electronically and delivered by email to the address supplied at checkout. Each ticket bears a unique QR code and is also available under "my tickets" on the Platform once your email address is verified.

You must present the QR code, on-screen or printed, for admission. Where the same code is presented more than once, admission is refused to every presenter after the first.

7.2 Delivery Address Is Locked

Once you have verified your email address by one-time code, the delivery address for that order cannot be changed. This is a security control designed to prevent the redirection of issued tickets and is not subject to exception. Please ensure your email address is correct before verification.

7.3 Forwarding Tickets to Companions

Tickets are issued as individual files so that you may forward one to each person attending with you. Forwarding a ticket file is not a transfer of the contract of sale. Where you forward a ticket:

(a) you remain the purchaser of record, and any refund entitlement remains with you and is paid to your original payment method; (b) the recipient is admitted on presentation of the ticket, subject to the Organiser's conditions and to any requirement that the ticket bear the attendee's name; and (c) you remain responsible for the ticket, including for ensuring that it is not further distributed.

Do not publish, post, or share images of a ticket publicly. Any person in possession of the code may be admitted in place of the intended holder.

7.4 Attendee Names

Where an event requires or permits named attendees, names supplied by you are assigned to individual tickets in the order of issuance. You are responsible for the accuracy of names supplied. Where an event requires that the name on the ticket match the identification of the person presenting it, admission may be refused if they do not correspond.

7.5 Single Admission; Duplication

Each ticket admits the number of persons stated on it, on one occasion only. The unique code is invalidated upon first scan. Where the same code is presented more than once, admission will be refused to every presenter after the first, irrespective of who purchased the ticket. Neither Tonik nor the Organiser is liable to any person refused admission in these circumstances.

7.6 Loss

Tickets may be re-obtained at any time through the "my tickets" area of the Platform, authenticated by one-time code sent to the email address associated with the order.

7.7 Formal Transfer

Where the Organiser permits formal transfer, tickets may be transferred to another person through the functionality provided on the Platform, whereupon the transferee becomes subject to these Purchase Terms and to the Organiser's conditions. Transfer effected by any other means is not recognised as a transfer of the contract and is governed by Section 7.3.

7.8 Resale

Tickets may not be resold at a price exceeding their face value plus the fees paid, nor resold in the course of a business, nor advertised for resale, except where expressly permitted by the Organiser and by the law of the jurisdiction in which the event takes place. Tickets presented in breach of this Section may be voided without refund.


8. EVENT INFORMATION

8.1 Dates and Times

Event dates are expressed in the format DD/MM/YYYY. Event times are expressed in the time zone of the venue, which is stated explicitly alongside the time. Where your device time zone differs, an indicative conversion to your local time may be displayed for convenience; the venue time is definitive.

Where both a doors time and a start time are published, both are shown. Admission before the doors time is not permitted, and late admission is at the discretion of the Organiser and venue.

8.2 Accuracy of Event Information

Event information — including descriptions, images, video, line-ups, running times, venue details, and access information — is supplied by the Organiser. Tonik does not independently verify this information. Where information is found to be inaccurate, the Organiser is responsible for its correction.

8.3 Venue and Access

Venue name, address, and access information are supplied by the Organiser. Where a link to a mapping service is provided, it is accepted only from recognised mapping providers over a secure connection. You should verify the venue location independently before travelling.

8.4 Seating Plans

Where seats are sold by allocation on a venue plan, the plan is a schematic representation and is not to scale. Sightlines, obstructions, and the precise position of a seat may differ from the impression given by the plan. Where an Organiser has designated a seat as having a restricted view, that designation is displayed before purchase.

The venue plan builder is designated as a beta feature. The Organiser is responsible for the accuracy of the plan used for its event.

8.5 Age Restrictions and Entry Conditions

Age restrictions are set by the Organiser and are stated on the event page. Proof of age may be required at the venue. Admission may be refused, without refund, where you are unable to satisfy an age restriction or other published entry condition.


9. AT THE EVENT

9.1 Admission

Admission is subject to the conditions of the Organiser and the venue, including search on entry, refusal of admission to persons who appear intoxicated or who present a risk to safety, and removal for conduct that disrupts the event or endangers others. No refund is payable where admission is refused or where a person is removed for such reasons.

9.2 Recording and Broadcast

By attending, you acknowledge that the event may be photographed, filmed, or recorded, and that your image or likeness may appear in such material and be used by the Organiser for any purpose. Unauthorised recording by attendees is generally prohibited; the Organiser's conditions govern.

9.3 Risk

Attendance is at your own risk. Certain events involve exposure to loud noise, strobe and flashing lighting, pyrotechnics, crowd density, and other conditions that may present a risk to health. Where an Organiser publishes a warning of such conditions, you should consider it carefully before attending. Neither Tonik nor the Organiser excludes liability for death or personal injury caused by negligence.


10. CHANGES AND CANCELLATION

Changes to and cancellation of events, and the resulting entitlements, are governed by the Refund, Cancellation and Exchange Policy.

Where an event is cancelled, postponed, rescheduled, relocated, or materially altered, we will notify you at the email address associated with your order as soon as reasonably practicable after being informed by the Organiser. You are responsible for checking communications sent to that address. Neither Tonik nor the Organiser is liable for costs incurred in reliance on an event proceeding as originally scheduled, including travel, accommodation, and consequential expenditure.


11. COMPLAINTS

Complaints concerning the Platform, your payment, or the issuance of your tickets should be raised through the support channel at /support, which attaches your order and its payment state automatically, or sent to help@tonik.events. Each request receives a reference beginning TQ- and a private link on which it can be followed and replied to without an account.

We answer support requests within one (1) working day. Where a matter constitutes a formal complaint requiring investigation, we acknowledge receipt within two (2) business days and aim to respond substantively within fifteen (15) business days.

Complaints concerning the event itself — including its content, conduct, cancellation, venue, or refusal of admission — are matters for the Organiser. We will provide the Organiser's contact details on request and, where appropriate, will assist in referring your complaint.


12. GOVERNING LAW

These Purchase Terms are governed by the laws of the Russian Federation, without prejudice to the mandatory consumer protection provisions of the law of your country of habitual residence, which are unaffected. Section 15 of the Terms of Service applies to any dispute arising under these Purchase Terms.
